This is an exciting opportunity to join our team. Supporting the Company Secretary, you will ensure the smooth running of the Trust’s formal governance arrangements at board and board committee level, as well as overseeing specific programmes of work within the corporate governance function.  

 You will work closely with the Company Secretary and the Board of Directors, developing relationships with senior staff throughout the Trust, and interact with regulators, auditors, members of the public and external stakeholders and peers.

This is a great opportunity for a governance professional or someone who wishes to pursue a career in governance, either way this is a real opportunity to make difference in the Trust.

 The role will include preparing agendas for meetings, requesting and organising supporting papers in a timely manner you will therefore need to be organised, have good administrative skills, be able to communicate verbally and in writing.  The role will entail taking minutes, but support will be provided should you need development in this area.

Main duties of the job

The post holder will support the Company Secretary in providing specialist corporate governance expertise to ensure the Trust complies with all relevant legislation and regulatory requirements.

The post holder will ensure the smooth running of the Trust’s formal governance arrangements at board and board committee level, as well as overseeing specific programmes of work within the corporate governance function.  

The postholder will work closely with the Company Secretary and the Board of Directors. They will develop relationships with senior staff throughout the Trust, and interact with regulators, auditors, members of the public and external stakeholders and peers.

Detailed job description and main responsibilities

Assist the Company Secretary in establishing effective arrangements for the induction of Directors and Non-Executive Directors and provide advice and support regarding discharge of their duties.

Maintain annual work plans of relevant Board and Committees and coordinate annual reviews of Terms of Reference.    Plan and prepare agendas for the meetings, request supporting papers for meetings, and ensure timely submission. Provide advice and support on the production of formal reports for Board and Board Committees where applicable. 

Preparation of minutes of meetings, reports and briefing papers to a high professional standard and in accordance with relevant timescales.

Produce and maintain the Trust’s Corporate Calendar for Board, Council of Governors, and Committee meetings.

Assist the Company Secretary with preparation of the Trust’s Annual Report & Accounts. Assist the Company Secretary with preparation for the Annual Members Meeting.

To be responsible for the development, maintenance and review of the Trust’s governance manual and updating related policies and corporate documents in response to any regulatory changes.

Support the induction process for members of the Council of Governors, provide governors with advice and support and the provision of administrative resources to facilitate effective working of the Council of Governors.  Support the provision of administrative resources to facilitate the effective management of the Trust’s membership database.   Support plans for the election processes for public and staff representatives of the Council of Governors, in conjunction with the Company Secretary.  Provision of an efficient and effective liaison service to governors in matters relating to corporate governance, offering a problem-solving approach to any issues raised.

Management of corporate governance-related information, guidance and advice on the governor section of the Trust web site.  

Brief the Company Secretary on all material matters relating to the Council and/or individual Governors which might impact on the effective and efficient administration of the governance structure. Maintain secure, confidential records in relation to all appointments of governors.

Person specification

Education and Qualifications

Essential criteria
  • Degree level qualification or relevant significant substantial experience
  • Evidence of further professional development
Desirable criteria
  • ICSA qualified or working towards Chartered Secretary qualification

Knowledge

Essential criteria
  • Knowledge of corporate governance in the NHS
  • Knowledge of the rules and regulations of meetings.
  • Understanding of corporate governance in at least one sector (private / public / charity)
Desirable criteria
  • Knowledge of good practice in membership organisations
  • Knowledge of NHS Foundation Trust governance arrangements

Experience

Essential criteria
  • Experience working in related areas gaining the necessary skills and experience for the post
  • Experience of working in at least one of the following disciplines: company secretarial, corporate administration, membership management
  • Experience in report writing, presentation, influencing and persuasion, developing action plans to cover a range of complex activities

Skills and Abilities

Essential criteria
  • Ability to produce accurate, high-quality reports, minutes, presentations, briefings and analysis requiring attention to detail at all times.
  • Proficient use of MS Word, MS Powerpoint, e-mail and internet applications.
  • Ability to author, develop, consult, interpret, review and amend as required complex information (such as the Constitution, Codes, Licence, Board and Council reports)
  • Excellent organisational skills, communication and presentation skills and ability to prioritise workload to meet changing demands.
